1. ACCEPTANCE AND MODIFICATION OF TERMS

By accessing, using, or interacting with the GenieDEX protocol, interface, or any related services (collectively, the "Services"), you unconditionally accept and agree to be bound by these Terms and Conditions (these "Terms"). If you do not agree to these Terms, you must immediately cease all use of the Services.

GenieDEX reserves the absolute right to alter, modify, update, or replace any and all of these Terms and Conditions at any time, in its sole discretion, without prior notice or consent. Such modifications shall be effective immediately upon posting. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. It is your responsibility to regularly review these Terms for changes.

2. DEFINITIONS AND PROTOCOL DESCRIPTION

GenieDEX operates as an experimental infrastructure that facilitates peer-to-peer transactions without intermediation. The Protocol functions autonomously through a mix of immutable and mutable smart contracts deployed on public blockchains. GenieDEX is NOT a financial institution, broker, exchange, custodian, wallet provider, or investment advisor.

3. COMPREHENSIVE LIABILITY LIMITATIONS AND DISCLAIMERS

3.1 Maximum Liability Exclusion

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENIEDEX, ITS AFFILIATES, DEVELOPERS, CONTRIBUTORS, SUPPLIERS, OR ANY RELATED PARTIES BE LIABLE FOR ANY:

WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, CIVIL LIABILITY, STATUTE, STRICT LIABILITY, BREACH OF ANY DUTY, OR ANY OTHER LEGAL THEORY, EVEN IF GENIEDEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

3.2 Liability Cap

TO THE EXTENT THAT LIABILITY CANNOT BE EXCLUDED UNDER APPLICABLE LAW, GENIEDEX'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100 USD) IN THE AGGREGATE.

3.3 "AS IS" Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GENIEDEX EXPLICITLY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, ACCURACY, AND FREEDOM FROM COMPUTER VIRUS OR OTHER HARMFUL CODE.

4. USER RISK ASSUMPTION AND ACKNOWLEDGMENTS

4.1 Experimental Technology Risks

You acknowledge and agree that:

• Securing your private keys, wallet credentials, and account information

• All trading decisions and their consequences

NOTHING IN THE SERVICES CONSTITUTES INVESTMENT, LEGAL, TAX, OR FINANCIAL ADVICE. ALL CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY. YOU SHOULD CONSULT WITH QUALIFIED PROFESSIONALS BEFORE MAKING ANY FINANCIAL DECISIONS.

4.4 SECURITIES LAW DISCLAIMER

IMPORTANT SECURITIES LAW NOTICE: No tokens, digital assets, or other instruments available through or in connection with the Services are offered, sold, or provided as securities, investment contracts, commodities, or any other form of regulated financial instrument. GenieDEX does not offer, provide, or make available any investment advice, financial advice, trading advice, or recommendations regarding any tokens, trading strategies, or financial decisions. All information provided through the Services is for informational and educational purposes only and should not be construed as a solicitation or offer to buy or sell any financial instrument. You acknowledge and agree that you are solely responsible for conducting your own independent legal, financial, and tax analysis regarding any tokens or trading activities, including determining whether any token may be deemed a security or regulated instrument under the laws of your jurisdiction. You should consult with qualified legal and financial professionals before engaging in any token-related activities. GenieDEX makes no representations regarding the legal classification, regulatory status, or investment suitability of any tokens accessible through the Services.

5. PROTOCOL INDEPENDENCE AND ANTI-AFFILIATION

5.1 Protocol Autonomy

The GenieDEX Protocol operates as an autonomous deployment on public blockchains. GenieDEX has no ongoing operational control over the Protocol once deployed. The Protocol functions independently through a mix of mutable and immutable smart contracts without centralization or intermediation.

5.2 Third-Party Independence

GenieDEX is unaffiliated with and bears no responsibility for:

• Token creators who use the Protocol to launch tokens
• Trading activities conducted through the Protocol
• Third-party integrations or applications that interact with the Protocol
• User-generated content, token descriptions, or promotional materials
• Actions of liquidity providers, traders, or other Protocol participants
• Third-party wallets, bridges, or other infrastructure providers

6. PROHIBITED USES AND COMPLIANCE

6.1 Prohibited Activities

You may not use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in market manipulation, wash trading, or other deceptive practices
• Create or promote tokens that are securities, commodities, or regulated financial instruments
• Infringe intellectual property rights or use copyrighted materials without permission
• Engage in money laundering, terrorist financing, or other illicit financial activities
• Circumvent any technological measures designed to protect the Services
• Interfere with the operation of the Services or blockchain networks

6.2 Regulatory Compliance

You represent and warrant that:

• You are not located in, or accessing the Services from, any jurisdiction where such access is prohibited
• You are not subject to economic sanctions or appear on any restricted person lists
• Your use of the Services complies with all applicable laws in your jurisdiction
• You have obtained all necessary licenses, permissions, or approvals for your activities

6.3 Geographic Restrictions

The Services may not be available in all jurisdictions. You are prohibited from accessing the Services if you are located in any jurisdiction where such access would violate applicable law or regulation.

6.4 USER CERTIFICATION REQUIRED

By accessing or using the Services, you hereby represent, warrant, and certify that: (a) you are not a resident of, citizen of, located in, incorporated in, or otherwise accessing the Services from any jurisdiction where such access is prohibited by applicable law, including but not limited to jurisdictions subject to comprehensive U.S. economic sanctions; (b) you fully understand and acknowledge that digital tokens and blockchain-based assets are experimental, highly volatile, and speculative instruments that may lose all or substantial value, and that token markets are subject to extreme price fluctuations, liquidity constraints, regulatory uncertainty, and technical risks that could result in total loss of your invested capital; (c) you have consulted with qualified legal, tax, and financial advisors regarding the legal status and tax implications of digital tokens in your jurisdiction; (d) your use of the Services and any token-related activities comply with all applicable laws, regulations, licensing requirements, and regulatory obligations in your jurisdiction of residence, citizenship, and any jurisdiction from which you access the Services; and (e) you will immediately cease using the Services if your circumstances change such that any of the foregoing representations and warranties are no longer accurate. You agree to update GenieDEX immediately if any of these certifications become untrue or inaccurate.

7. INTELLECTUAL PROPERTY

7.1 Interface Rights

The Interface and related documentation are proprietary to GenieDEX, subject to open-source components used under their respective licenses. You receive a limited, non-exclusive, non-transferable license to access and use the Interface for its intended purpose.

7.2 User Content

By submitting content to the Services (including token information, descriptions, or images), you grant GenieDEX a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content in connection with the Services.

7.3 USER CONTENT OWNERSHIP WARRANTY

By submitting, uploading, posting, or otherwise providing any content, information, data, text, images, graphics, audio, video, or other materials ("User Content") to or through the Services, you represent and warrant that: (a) you are the original creator of such User Content or have obtained all necessary rights, licenses, consents, and permissions from all relevant parties to use and submit such User Content; (b) your User Content does not infringe, violate, or misappropriate any intellectual property rights, publicity rights, privacy rights, or other proprietary rights of any third party; (c) you have the full legal right and authority to grant the licenses set forth in these Terms; and (d) your User Content complies with all applicable laws and regulations. You agree to indemnify and hold harmless GenieDEX from any claims, damages, or liabilities arising from any breach of these warranties. GenieDEX reserves the right, but has no obligation, to monitor, review, or remove any User Content that it believes, in its sole discretion, violates these Terms or applicable law.

8. FORCE MAJEURE AND TECHNICAL LIMITATIONS

8.1 Force Majeure

GenieDEX shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government actions, regulatory changes, blockchain network failures, internet outages, cyber attacks, or other force majeure events.

8.2 Technical Limitations

You acknowledge that:

• Blockchain networks may experience delays, congestion, or temporary unavailability
• Smart contracts may contain bugs or vulnerabilities despite security audits
• The Interface may experience downtime for maintenance or technical issues
• Transaction execution is not guaranteed and may fail for various technical reasons

9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless GenieDEX, its affiliates, officers, directors, employees, agents, and contributors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the Services
• Your trading activities or token creation

10. BINDING ARBITRATION AND CLASS ACTION WAIVER

10.1 Mandatory Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING INDIVIDUAL ARBITRATION rather than in court, except that you may assert claims in small claims court if your claims qualify.

10.2 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION against GenieDEX. All disputes must be resolved on an individual basis. You may not act as a representative or private attorney general, or in any other representative capacity for others in any legal proceeding.

10.3 Jury Trial Waiver

YOU WAIVE YOUR RIGHT TO A TRIAL BY JURY for any claims or disputes related to the Services or these Terms.

11. TERMINATION AND SURVIVAL

11.1 Termination Rights

GenieDEX may suspend or terminate your access to the Interface at any time, with or without cause, and with or without notice. You may cease using the Services at any time.

11.2 Effect of Termination

Upon termination, your right to access the Interface ends immediately, but the Protocol will continue to operate autonomously on the blockchain. All provisions of these Terms that by their nature should survive termination shall survive, including liability limitations, indemnification obligations, and dispute resolution provisions.

12. PRIVACY AND DATA PROTECTION

12.1 Data Collection

GenieDEX may collect certain information necessary to provide the Services, including wallet addresses, transaction data, and usage analytics. This information is processed in accordance with our Privacy Policy.

13. UPDATES AND PROTOCOL EVOLUTION

13.1 Protocol Upgrades

The Protocol may evolve through community governance or technical upgrades by the team. GenieDEX makes no commitment to maintain backward compatibility or specific functionality in future versions.

13.2 Interface Updates

The Interface may be updated, modified, or discontinued at any time without notice. GenieDEX reserves the right to add, modify, or remove features to improve security, compliance, or functionality.

14. GOVERNING LAW AND JURISDICTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to conflict of law principles.

14.2 Exclusive Jurisdiction

Subject to the arbitration provisions above, the courts of the British Virgin Islands shall have exclusive jurisdiction over any legal proceedings that are not subject to arbitration.

15. SEVERABILITY AND ENTIRE AGREEMENT

15.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15.2 Entire Agreement

These Terms, together with any applicable Privacy Policy, constitute the entire agreement between you and GenieDEX regarding the Services and supersede all prior agreements and understandings.
